Job Details Legal: guidance across all areas and geographies to ensure: every transaction is appropriately negotiated, documented and implemented, losses arising from litigation are minimised, and legal issues carrying negative reputational consequences are avoided. Job Purpose Working closely with other Corporate & Investment Banking (“CIB”) Lawyers the job holder will provide legal, regulatory, reputational and transactional advice and support in relation to the client coverage, investment banking , global markets and transactional products and services activities of Stanbic Bank Ghana Limited ( “Stanbic ”), with the objective of assisting the business leaders of those businesses in achieving their business goals in a manner consistent with sound risk management. Partnering with the CIB embedded Legal teams in the Africa Regions countries and Johannesburg and the CIB Legal team Africa Regions to ensure an aligned and consistent level of service to the business Key Responsibilities/Accountabilities Client Adhere to Standard Bank Group (SBG) toolbox standards in order to initiate standard contracts and provide legal services, where required. Address internal client needs by providing basic to intermediate technical legal advice to Legal Teams within the Country or Product Areas and external legal representatives, generally under supervision, given limited experience. Work closely with / and support the other Lawyers, Head, CIB Legal and Head, Country Legal to provide the client coverage, investment banking, global markets and transactional products and services businesses with appropriate legal support. Be a trusted, solution-driven legal advisor and value-added partner to the client coverage, investment banking, global markets and transactional products and services businesses by providing timely, commercial and judgment-based legal advice, input and oversight. This facilitates informed, risk-based decision-making by the front office stakeholders in their activities and seamless coordination and implementation of deals; Engage and work closely with external legal counsel as and when required and ensuring their accountability, cost efficiency and competitiveness and excellence in expertise and service delivery. Work closely with other CIB Lawyers to identify legal risks, providing actionable, solution-orientated advice to mitigate those risks, reporting incidents of non-compliance as necessary and ensuring risks are properly understood and mitigated; and Where appropriate, draft legal documentation. Data Adhere to SBG data security standards, ensuring compliance with data regulations, especially pertaining to data privacy. Maintain a case database, keeping an up to date and accessible record of matters Financial Management Engage in the invoicing of clients and follow up with debtors so that monies owed are paid timeously. People Build and develop relationships across the different internal legal teams and with various stakeholders so that the business unit remains involved and aware of internal developments. Develop and manage relationships with identified external stakeholders relevant to the business and external regulatory bodies so that pertinent business networks and connections may be relied upon. Proactively develop and manage strong working relationships with front office staff and across business units. Build and maintain strong networks of internal clients and external parties. Engaging and working collaboratively with deal team members in cross border and multi jurisdictions to develop a harmonised approach to common issues and policies; Gain confidence of credit and other committees as a trusted legal adviser; Work within the CIB Legal team but independently on transactions; Build relationships with external counsel and other members of the CIB Legal team; and Handle difficult situations tactfully and diplomatically. Technology & Architecture Respond to business requests and appreciate client centricity through effective, efficient execution of transactions utilising technology. Utilise the relevant technology requirements in order to drive the optimisation of work output. Use digitisation effectively to work smarter and faster on manual intense tasks which involve systems and processes. Risk, Regulatory, Prudential & Compliance Conduct short- to medium term planning for effective delivery of solutions to problems identified; delivering "ready-to-go" legal recommendations to senior leader for signoff. Make use of the available tools to support the management of legal risk, including but not limited to risk reporting so that risks are managed in a proactive manner; adhere to SBG legal risk polices when executing tasks. Research case studies and legal precedent and assess the implications thereof so that the function's and industry knowledge may be leveraged. Consult with internal clients to understand business requirements and provide sound legal advice pertaining to the drafting, vetting, review, dissemination and/or negotiation of standard legal documentation and processes, providing clear and accurate legal opinions based on sound judgment. Contribute to due diligences carried out by team members by assisting in the identification of legal liabilities. Add value to this process by contributing legal expertise in business transactions, or sections thereof. Gain and maintain an understanding of standard product offerings, assisting with business transactions and ensuring that deals and arrangements are valid and legal. Understand changes in legislation and regulations, and how they apply to the legal entity. Amend intermediate legal and business documents to cater for legislative changes. Seek input from more seasoned team members on the impact of legislative changes on the legal operations within the legal entity. Under supervision, make amendments to legal and business documents to cater for such changes. Implement localised SBG Legal decisions to apply SBG Legal standards consistently; in consultation with Line Manager. Preferred Qualification and Experience LLB - Law Degree Qualifying Certificate in Law, BL. 3-5 years experience Proven experience in legal research, drafting and analysing legal documents, with at least 3 years within the legal and/or financial and/or corporate/commercial sectors. Proven experience in the provision of standard and intermediate legal advice, drafting, vetting, review, dissemination and/or negotiation. Has sound technical understanding of Ghanaian law and experience in corporate and commercial law, capital markets, banking and finance, corporate banking, capital raising, syndicated loans, corporate finance and derivatives and ability to translate and apply this knowledge to optimise the Corporate and Investment Banking relationship. Knowledge and awareness of the legal and regulatory frameworks in Ghana governing various aspects of corporate and investment banking; Risk Management - Understands and manages strategic and operational risk within the relevant legal agreements, including understanding and conforming to the relevant processes and procedures within Legal (Risk) and all the CIB areas. Competencies required in delivering accurate and relevant results and assessing risk including attention to detail,delivery of accurate and relevant research, proactivity and timeous delivery of requirements, ownership of problems, understanding of impact of non-delivery and sub-standard performance. Strong commercial awareness, analytical abilities and problem- solving skills sufficient to maximise the solutions available within a given regulatory and legal context; Strong communication skills with the ability to effectively apply verbal, nonverbal and written communication methods to achieve desired results using a flexible interpersonal style. Demonstrates a sophisticated level of front line negotiation skills and professionalism in dealing with others. Influential skills sufficient to shape the decision-making process in situations where there may be a natural resistance to the advice.
